Purpose
This invite is a voting mechanism for the proposed By-Law change (email from MICC on Jan 19). Please reference that email, which has attached the proposed change / updates to the Club's By-Laws.
By "Accepting" this invite, you are voting "For" the change referenced below. By "Declining" this invite, you are voting "Against" the change referenced below. Your vote is needed no later than 7a February 5th.
Summary of the By-Law Change
The one change that you'll be voting on (in the upcoming calendar invite) is for Article V, Section I - Term of Office. There are two changes encapsulated in this one section:
- Term restriction: At present our By-Laws state that all officers except the Governor can only serve two 2-year terms (maximum of 4 years). As this an all volunteer organization, we have the challenge that at times there may not be a person interested to take on one of the expiring positions, while the incumbent is still willing to serve. The way our By-Laws are currently written, the incumbent cannot continue to serve and the club must find a replacement. We are proposing that the term restriction still be maintained (maximum of 4 years) UNLESS there is no willing replacement, and adding the Governor to the same term restriction as all other Board positions.
- Staggered terms: At present our By-Laws have each Board position expiring at the same time. Although it has never been a problem, if the club would lose key positions simultaneously, there could be a loss of continuity that would take some time to overcome. Therefore, we are proposing that roughly 1/2 of the Board's positions be open for election in any given year.
